Partner terms

The seller is KARTIM OÜ (registry code 12591035, Laki põik 4, 12915 Tallinn). These terms apply to the partner status of business customers of the Seller's online shops together with the shop's terms and conditions; in case of conflict, these partner terms prevail.

1. Partner status

1.1 Partner status can be requested on the business customers page. The Seller checks the company details and decides on granting the status at its own discretion.

1.2 The status is linked to one customer account. The Partner ensures that only persons it has authorised can access the account and keeps the password secret.

1.3 The Partner acts in its business or professional capacity and buys goods for installation, projects or resale.

2. Levels

2.1 The level determines the discount:

• Bronze – approved partner application – 5%
• Silver – paid purchases of at least €5,000 per month (excl. VAT) – 10%
• Gold – paid purchases of at least €15,000 per month (excl. VAT) – 15%
• Титановий – paid purchases of at least €100,000 per month (excl. VAT) – 20%

2.2 The purchase amount is calculated at the end of each calendar month from the invoices paid that month (all of the Seller's online shops and invoices together, credit notes deducted, unpaid invoices not counted).

2.3 If the monthly purchase amount exceeds the threshold of a higher level, the level is raised automatically at the start of the next month and the Partner is notified by email.

2.4 If the purchase amount stays below the level threshold for 3 consecutive months, the Seller may lower the level, notifying the Partner by email at least 14 days in advance.

2.5 The Seller may set a level regardless of the purchase amount on the basis of projects or agreements.

3. Partner price

3.1 The partner price applies when the Partner is logged in to the online shop and has accepted these terms; it is shown on product pages, in the cart and at checkout. The order price is fixed when the order is placed.

3.2 The partner price does not apply to products at a sale (campaign) price.

3.3 The partner price does not combine with discount codes or bundle discounts; the larger discount applies on each product line.

3.4 The Seller may limit the discount on products whose purchase price has changed or whose margin is low; the online shop shows the actual partner price.

3.5 The Seller may change shop prices; levels and discounts are changed under section 9.2. Changes do not affect orders already placed.

4. Ordering and payment

4.1 The Partner orders through the online shop or on the basis of the Seller's quote; the contract is concluded under the shop's terms and conditions.

4.2 The Partner pays for the order in advance (bank link, card or prepayment invoice) unless the parties have agreed otherwise.

4.3 The Seller may allow purchases on invoice by a separate decision, setting a credit limit and payment term. If there is an overdue debt, purchases on invoice are suspended until the debt is paid.

4.4 If the payment term is exceeded, the Seller may claim late interest of 0.1% per day on the unpaid amount and suspend the fulfilment of orders.

4.5 The goods remain the property of the Seller until paid in full.

5. Confidentiality and resale

5.1 Partner prices and their terms are confidential. The Partner does not disclose them to third parties or publicly, except when preparing offers for its own customers.

5.2 The Partner sets its resale prices itself.

5.3 The Partner does not present itself as the Seller's representative or use the Seller's name and online shop trademarks without the Seller's written consent. When using manufacturers' trademarks, the Partner follows the manufacturer's rules.

6. Delivery, returns and warranty

6.1 Delivery takes place under the shop's terms and conditions; delivery times are estimates.

6.2 The consumer's 14-day right of withdrawal does not apply to the Partner. Unused goods in their original packaging may be returned within 14 days with the Seller's consent; the Seller may withhold a return fee of up to 15% of the price of the goods and the costs of return.

6.3 Warranty and claims are handled under the shop's warranty terms and through the returns portal; the warranty period is the manufacturer's warranty stated for the product.

6.4 The Partner checks the quantity and external condition of the goods on receipt and reports visible defects within 3 working days.

7. Liability

7.1 The Seller is not liable for the Partner's lost profits or indirect damage. The Seller's liability for damage related to one order is limited to the amount of that order, except for damage caused intentionally or through gross negligence.

7.2 The Partner is responsible for installation, configuration and the promises it makes to its own customers.

8. Personal data

8.1 The Seller processes the data of the Partner's contact persons to manage the partnership, fulfil orders and keep accounts, in accordance with the shop's privacy policy.

9. Validity, changes and termination

9.1 These terms take effect when the Partner accepts them in the online shop and are valid indefinitely. The time of acceptance and the version of the terms are recorded.

9.2 KARTIM OÜ may unilaterally change the terms, levels, thresholds and discounts of the partner programme. We notify the Partner of changes by email, and they take effect 30 days after the notice. Orders confirmed before a change takes effect remain subject to the previous terms. The Partner accepts the new version at the next login; until then, partner prices are not shown.

9.3 Either party may end the partnership by notifying the other by email 30 days in advance.

9.4 The Seller may end the partner status immediately if the Partner breaches sections 4 or 5, provides false information or does not pay an overdue debt within 30 days after a reminder.

9.5 The end of the partnership does not affect orders already placed or unpaid obligations.

10. Disputes

10.1 These terms are governed by Estonian law. Disputes are resolved by negotiation and, failing agreement, in Harju County Court.
